Current Analysis Telecom Equipment Buyer Terms and Conditions

This special offer is intended as an exclusive offer for IT and Telecom Buyers. Current Analysis Telecom Equipment Buyer reserves the final right to accept or deny access to this offer to any company or individual.

This Master Subscription Agreement (the "Agreement:) is made by and between Current Analysis, Inc. ("Current Analysis"), a Delaware Corporation, and ("Client"). The following Terms and Conditions which identify the Internet-based Online Platform ("Platform") and Analysis ("Analysis") ordered, subscription term, and other details of the subscription relationship is incorporated herein and made a part of this Agreement.

Subscription Term. Current Analysis shall provide the Platform and Analysis for a period of 14 days.

Content and Platform. Current Analysis agrees to provide Client with access to the online Platform and Analysis subject to the terms and conditions described. The Client assumes sole responsibility for the use made and results obtained from the Platform and Analysis, and the Client agrees that, by agreeing to these Terms and Conditions, the fees set forth reflect this allocation of responsibility and risk.

Allowed Access. Only authorized password holders ("Subscribers") of Client may have access to the Platform and Analysis under the terms and conditions defined herein. Each User shall receive a personal username and password. Additional Users who are employees of the same Client may be added during the trial period, Access to the Platform and Analysis is restricted to Users with registered passwords. Client and User shall not copy, publish, transfer, modify, create derivative works of or redistribute to any third party (including, without limitation, employees of Client who are not Subscribers) the content of the Analysis. EXTERNAL USE OR REPRINT RIGHTS OF CONTENT IS NOT PERMITTED WITHOUT WRITTEN CONSENT FROM CURRENT ANALYSIS AND MAY REQUIRE ADDITIONAL CHARGES.

Rights. Ownership of all copyrights, trademarks, intellectual property rights, and other proprietary rights are retained by Current Analysis and/or its licensors or third-party providers.

DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY. There are no warranties which extend beyond the description on the face hereof. Access to the Platform and Analysis is provided to Client solely for use as a IT Buyer Intelligence and research tool and is not intended to suggest specific courses of action. All information in the Platform and Analysis has been obtained from sources Current Analysis believes to be reliable, but is in no way warranted by Current Analysis as to accuracy or completeness and should not be relied upon by Client, and Client agrees not to rely on this information for decision making purposes. All information contained in the Platform and Analysis is current as of the publication date; Current Analysis does not undertake to advise Clients as to any changes in figures or its opinions.

The information published and made available under this Agreement is not intended to support investment decisions or recommendations with respect to securities or any company and Current Analysis assumes no liability for decisions made, in whole or in part, on the basis of any information included in the Platform and Analysis. All information in the Platform and Analysis, and access to any Current Analysis Telecom Equipment Buyer databases or networks, are provided on an "as is", "as available" basis.

Current Analysis, its licensors and third party information providers expressly disclaim all warranties, express or implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or adequacy of information. The total liability of Current Analysis and its employees arising out of this Agreement and the Platform and Analysis under all theories of liability shall be limited to the fees paid by Client to Current Analysis for the Platform and Analysis described herein. Client, Current Analysis, its licensors and third parties providing information or other input to the Platform and Analysis shall not be liable for consequential, indirect, special, incidental, or punitive damages. In addition, neither party shall be liable for any damages occurring by reason of any circumstances beyond its reasonable control. The Terms and Conditions of this Agreement shall survive the termination and/or expiration of the Subscription Term.

Assignment. Neither party may assign or otherwise transfer any right or obligation set forth in this Agreement (whether by operation of law or otherwise) without the other party’s prior written consent, except that a party may assign any right or obligation set forth in this Agreement to a successor entity in the event of a merger, consolidation or sale of such party’s business or all or substantially all of such party’s stock or assets, provided the assignee agrees in writing to assume all of the assignor’s obligations and liabilities under this Agreement, and provided further that the substitution of the rights of the assignee for the rights of the assignor does not materially increase the scope of Client’s use of, or the number of Subscribers or Users of, the Platform or Analysis. Any purported assignment in violation of the preceding sentence will be void. This Agreement will be binding upon the parties’ respective successors and permitted assigns.

Governing Law. This agreement shall be governed and construed in accordance with the laws of the Commonwealth of Virginia.
